Vendor Agreement for Greater Olean Area Chamber of Commerce Events
By participating as a vendor at any event organized by the Greater Olean Area Chamber of Commerce (GOACC), you agree to the following terms and conditions:
1. Assumption of Risk: Participation as a vendor involves inherent risks, including but not limited to accidents, injury, theft, property damage, and loss of goods. Vendors voluntarily assume all risks associated with their participation in the event.
2. Compliance with Regulations: Vendors must comply with all applicable local, state, and federal laws, regulations, and ordinances, as well as any rules or guidelines provided by GOACC for the event.
3. Safety Guidelines: Vendors must adhere to all safety guidelines provided by the event organizers, including but not limited to maintaining clear walkways, securing tents and equipment, and following instructions from event staff. Vendors are responsible for ensuring their setup does not pose a risk to event attendees.
4. Insurance Requirements: Vendors must carry adequate insurance coverage for their operations, including but not limited to general liability insurance. Proof of insurance may be required by GOACC prior to participation in the event.
5. Vendor Responsibilities: Vendors are responsible for the setup, operation, and breakdown of their own booths. Vendors must ensure their area is clean and free of debris at all times and must remove all equipment and refuse at the end of the event.
6. Indemnification: Vendors agree to indemnify and hold harmless the Greater Olean Area Chamber of Commerce, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from or related to their participation in the event, including but not limited to accidents, injury, or property damage.
7. No Guarantee of Sales: GOACC does not guarantee any level of sales or attendance for the event. Vendors participate at their own financial risk.
8. Force Majeure: GOACC shall not be held liable for any failure or delay in performance of its obligations due to causes beyond its reasonable control, including but not limited to acts of God, war, riot, fire, flood, or other natural disasters, strikes, or governmental actions.
9. Photography and Media: By participating in the event, vendors grant permission to GOACC and its affiliates to use photographs, videos, or other media recordings taken during the event for promotional purposes without compensation.
10. Modification of Terms: GOACC reserves the right to modify or update these terms and conditions at any time without prior notice. Vendors are responsible for reviewing the most current version of the terms and conditions before participating in the event.
11. Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of the state of New York, without regard to its conflict of law principles.
By participating as a vendor at any GOACC event, vendors acknowledge that they have read, understood, and agree to abide by these terms and conditions. Further, vendors expressly waive any and all claims, known or unknown, against the event organizers, their agents, and assigns.
